1. Agreement to Terms

By accessing or using the services of Rainey Visuals ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, then you may not access our services.

2. Services

Rainey Visuals provides professional photography and videography services, including but not limited to:

• Corporate photography
• Commercial videography
• Post-production and editing services
• Related consulting and creative services

3. Booking and Payment

3.1 Booking Process

All bookings are subject to availability and confirmation. A booking is not confirmed until you receive written confirmation from us and any required deposit has been paid.

3.2 Payment Terms

• Deposits are required to secure bookings and are non-refundable unless otherwise agreed in writing
• Final payment is due as specified in your service agreement, typically before or upon delivery of final deliverables
• Late payments may incur additional fees and may result in suspension of services
• All prices are quoted in the currency specified and are subject to change without notice until booking is confirmed

4. Cancellation and Rescheduling

4.1 Client Cancellation

• Cancellations made more than 14 days before the scheduled date may be eligible for a partial refund, minus the non-refundable deposit
• Cancellations made within 14 days of the scheduled date are not eligible for refunds
• Rescheduling is subject to availability and may incur additional fees

4.2 Service Provider Cancellation

In the event we must cancel a booking due to circumstances beyond our control, we will provide a full refund or offer to reschedule at no additional cost.

5. Intellectual Property

5.1 Copyright

All photographs, videos, and other creative works produced by Rainey Visuals are protected by copyright. Unless otherwise specified in a written agreement:

• Rainey Visuals retains copyright to all images and videos
• Clients receive a license to use the deliverables for the purposes specified in the service agreement
• Commercial use, reproduction, or distribution beyond the agreed scope requires additional licensing

5.2 Client Content

You retain ownership of any content, materials, or information you provide to us. By providing such content, you grant us a license to use it solely for the purpose of providing our services.

6. Deliverables and Usage Rights

Deliverables will be provided in the format and timeframe specified in your service agreement. Usage rights are granted as follows:

• Personal/Corporate Use: For use in marketing materials, websites, social media, and internal communications
• Commercial Use: Requires explicit agreement and may incur additional fees
• Third-Party Use: Distribution to third parties or use by third parties requires written permission

You may not edit, alter, or modify deliverables without prior written consent, except for minor cropping or resizing for specific use cases.

7. Client Responsibilities

You agree to:

• Provide accurate information about your project requirements
• Obtain necessary permissions, releases, and licenses for any locations, people, or content featured
• Ensure all participants are available at scheduled times
• Provide a safe and appropriate working environment
• Make timely payments as agreed

8. Limitation of Liability

To the maximum extent permitted by law:

• Rainey Visuals shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability for any claim shall not exceed the total amount paid by you for the specific service in question
• We are not responsible for delays caused by circumstances beyond our reasonable control
• We are not liable for loss or damage to client property unless caused by our negligence

9. Indemnification

You agree to indemnify and hold harmless Rainey Visuals from any claims, damages, losses, or expenses arising from:

• Your use of our services or deliverables
• Your violation of these Terms of Service
• Your violation of any third-party rights
• Any content or materials you provide to us

10. Confidentiality

We respect the confidentiality of your project information and will not disclose confidential information to third parties without your consent, except as required by law.

11. Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will make reasonable efforts to notify clients of significant changes that may affect ongoing projects.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Northern Ireland, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good faith negotiation. If a resolution cannot be reached, disputes shall be resolved through appropriate legal channels in Northern Ireland.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
